Personal, educational, and nonprofit use is free. Commercial evaluation is free for 30 days.
2. How the threshold works
“Gross revenue” means the organization’s total revenue before expenses during the previous 12 months. It is organization-wide revenue, not only revenue from work performed with Reshi.
“Commercial use” includes use by a company, partnership, sole proprietor, or individual for a business, trade, paid professional work, or another activity intended to generate revenue.
Organizations under common control are counted together. A small team owned or controlled by a larger organization uses the larger organization’s revenue tier.
An organization has 90 days to purchase or move to the correct license after crossing a threshold. Reshi does not charge retroactive fees for the period before the threshold was crossed.
The organization chooses its tier honestly. Reshi may ask an authorized representative to confirm the selected tier, but does not require routine access to private financial records.
3. What the commercial license permits
While the annual fee is paid, the licensed organization may install and use authorized copies of Reshi for its own internal work. Its employees and contractors may use Reshi for that organization’s work while following the terms of service.
The fee does not include subscriptions, storage, internet service, or usage charges from connected AI and storage providers.
4. What the commercial license does not permit
The organization may not:
- resell or redistribute Reshi;
- charge other people for access to Reshi;
- sublicense or transfer the license;
- embed Reshi in a product or service offered to customers;
- host Reshi for another organization;
- create or offer a white-label or rebranded version;
- copy or modify Reshi except as expressly allowed in writing; or
- use Reshi to build or offer a product whose primary purpose is to replace Reshi.
Reshi does not offer white-label rights. Any exception must be a separate written agreement signed by Reshi; Reshi is not required to offer one.
5. Payment and term
The license lasts for one year from purchase and renews only according to the terms shown at purchase. Fees are due in advance and do not include applicable taxes.
Fees are nonrefundable except where the law requires a refund or the purchase terms expressly provide one. If Reshi permanently discontinues the paid licensed service during the term, the organization will receive a proportional refund for the unused full months.
Support commitments, service-level agreements, custom security reviews, and special deployment requirements are not included unless stated in a separate written order.
6. Moving between tiers
At renewal, the organization selects the tier matching its gross revenue for the preceding 12 months. If it crosses into a higher tier during the license year, it has 90 days to move to that tier. If its revenue falls below a paid threshold, the lower tier applies at the next renewal.
7. Ownership and data
Reshi remains proprietary software. Paying a fee grants internal-use permission; it does not transfer ownership or intellectual-property rights.
The organization keeps ownership of its Room content. Reshi’s handling of Room content and operational data is described in the terms of service and privacy policy.
8. Ending the license
The organization may choose not to renew. Reshi may end the license for nonpayment or a serious violation that remains uncorrected 30 days after written notice. Reshi may act sooner when necessary to stop unlawful use, security abuse, redistribution, resale, or white-labeling.
When the license ends, the organization must stop using paid commercial features and remove unauthorized copies. The restrictions and Reshi’s ownership rights continue.
9. Agreement
Purchasing or using Reshi under a paid tier means the organization accepts this Commercial License and the Reshi terms of service. If an order form signed by both parties conflicts with this license, the signed order form controls for that purchase.
